Please read these Terms and Conditions carefully before using the Encore Software website, requesting a quotation, purchasing our services, or engaging us for software development work.

By accessing this website, submitting an inquiry, signing a proposal, accepting a quotation, making payment, or using any service provided by Encore Software, you agree to be bound by these Terms and Conditions. If you do not agree with these Terms, please do not use our website or services.

1. Conditions of Use

Encore Software provides software development, web application development, mobile application development, custom software solutions, consulting, design, deployment, maintenance, and related technology services.

Your use of our website and services is subject to your acceptance of these Terms, any applicable proposal, quotation, statement of work, invoice, project agreement, privacy policy, and any additional written agreement between you and Encore Software.

2. Overview

Encore Software partners with businesses to transform ideas into digital products. Our services may include strategy, planning, software architecture, UI/UX design, frontend development, backend development, mobile development, system integration, testing, deployment, support, and maintenance.

These Terms apply to all visitors, users, clients, prospective clients, and any person or organization that accesses our website or uses our services.

3. Definitions

For the purpose of these Terms:

Encore Software, we, our, or us means Encore Software.

Client, you, or your means the individual, business, company, organization, or legal entity using our website or services.

Services means all software development, consulting, design, implementation, deployment, support, maintenance, or other professional services provided by Encore Software.

Deliverables means the final work product specifically created and delivered to the Client under an approved proposal, quotation, agreement, or statement of work.

Project means the agreed scope of work between Encore Software and the Client.

Statement of Work or SOW means any written document, proposal, quotation, agreement, or project specification that describes the scope, deliverables, timeline, fees, responsibilities, and other project details.

Client Materials means any content, data, documents, branding assets, credentials, intellectual property, instructions, or other materials provided by the Client.

4. Modification of Website and Terms

Encore Software reserves the right to update, modify, suspend, discontinue, or change any part of our website, services, pricing, content, or these Terms at any time.

Any changes will be effective when posted on our website or otherwise communicated to you. Your continued use of our website or services after changes are made means you accept the updated Terms.

For active projects, the terms agreed in a signed proposal, quotation, or SOW will remain applicable unless both parties agree otherwise in writing.

5. Services Description

Encore Software provides software-related services including but not limited to:

a. Web Applications — Development of scalable and performant web applications using modern frameworks, architecture, and development practices.

b. Mobile Development — Development of native or cross-platform mobile applications for iOS, Android, or other supported platforms.

c. Custom Software Solutions — Development of tailored software systems, internal tools, dashboards, integrations, automation, APIs, and other digital solutions based on the Client's business needs.

d. Strategy and Consulting — Technical consultation, product planning, architecture review, feasibility analysis, and software strategy.

e. Deployment and Support — Deployment assistance, infrastructure setup, monitoring guidance, bug fixing, maintenance, and post-launch support where agreed in writing.

We aim to describe our services accurately. However, service availability, estimated timelines, features, technologies, and pricing may vary depending on the project scope, technical complexity, third-party dependencies, Client responsiveness, and other relevant factors.

6. Project Scope and Statement of Work

Each project will be governed by an approved proposal, quotation, SOW, contract, or written confirmation between Encore Software and the Client.

The SOW may include:

  • Project description
  • Scope of work
  • Deliverables
  • Timeline or milestones
  • Fees and payment terms
  • Technical requirements
  • Client responsibilities
  • Support period
  • Revision limits
  • Acceptance criteria
  • Exclusions

Only items expressly stated in the approved SOW are included in the project scope. Any additional request, feature, revision, integration, support, or change outside the agreed scope may require additional fees and timeline adjustments.

If there is a conflict between these Terms and a signed SOW, the signed SOW will prevail for that specific project.

7. Client Responsibilities

The Client agrees to:

a. Provide complete, accurate, and timely information required for the project.

b. Provide access to necessary accounts, systems, servers, APIs, tools, third-party platforms, documents, content, branding materials, and decision-makers.

c. Review deliverables, provide feedback, and approve milestones within the agreed timeline.

d. Ensure that all Client Materials provided to Encore Software are legally owned, licensed, or authorized for use.

e. Ensure that the project requirements, business rules, content, and instructions provided to Encore Software are accurate and lawful.

f. Obtain any internal approvals, licenses, permits, or permissions required for the project.

g. Make payments according to the agreed payment schedule.

h. Maintain backups of important data, files, and systems unless backup services are expressly included in the SOW.

Encore Software will not be responsible for delays, defects, additional costs, or project issues caused by incomplete information, delayed feedback, inaccessible systems, unavailable third-party services, changes in Client direction, or failure by the Client to meet its responsibilities.

8. Fees, Payment, and Taxes

Fees for services will be stated in the applicable proposal, quotation, invoice, or SOW.

Unless otherwise agreed in writing:

a. Payments must be made according to the agreed payment schedule.

b. Deposits, milestone payments, or advance payments may be required before work begins or continues.

c. Invoices are due within 14 days from the invoice date.

d. Late payments may result in suspension of work, delayed delivery, or additional charges.

e. All fees are exclusive of applicable taxes, bank charges, payment gateway fees, currency conversion fees, and other government charges unless stated otherwise.

f. The Client is responsible for all applicable taxes, duties, levies, or charges related to the purchase of services.

g. Payments already made are non-refundable unless expressly agreed in writing or required by applicable law.

Encore Software reserves the right to adjust pricing for future services, renewals, extensions, maintenance, or additional work.

9. Project Timeline

Any project timeline provided by Encore Software is an estimate unless expressly stated as a fixed deadline in the SOW.

Timelines may be affected by factors including but not limited to:

  • Change requests
  • Delayed Client feedback or approval
  • Incomplete requirements
  • Third-party service delays
  • Payment delays
  • Technical complexity
  • Scope expansion
  • Force majeure events
  • Bugs or issues discovered during testing
  • Platform review processes such as app store approval

Encore Software will use commercially reasonable efforts to meet agreed timelines, but we are not liable for delays caused by factors outside our reasonable control.

10. Changes, Revisions, and Additional Work

Any request that changes the agreed scope, feature set, design, workflow, timeline, technology, integration, or deliverable may be treated as a change request.

Encore Software may provide an estimate for additional fees and timeline adjustments before proceeding with the change.

Unless otherwise agreed in writing, revisions are limited to the scope stated in the SOW. Revisions do not include new features, major design direction changes, new integrations, new business logic, or work that was not included in the original scope.

11. Acceptance of Deliverables

The Client must review delivered work and provide written feedback or approval within 7 business days after delivery.

If the Client does not provide feedback, rejection, or approval within the review period, the deliverable may be considered accepted.

A deliverable may only be rejected if it materially fails to meet the agreed SOW or acceptance criteria. Minor bugs, cosmetic issues, preference changes, or requests outside the agreed scope do not prevent acceptance but may be handled as revisions, maintenance, or additional work.

12. Intellectual Property Rights

Unless otherwise agreed in writing:

a. Encore Software retains ownership of all pre-existing materials, tools, frameworks, libraries, templates, methods, processes, know-how, reusable code, internal systems, and general development knowledge used or created outside the specific Client project.

b. The Client retains ownership of Client Materials provided to Encore Software.

c. Upon full payment of all amounts due for the project, the Client will receive ownership or license rights to the final Deliverables specifically created for the Client, subject to these Terms and any third-party license restrictions.

d. Encore Software may reuse general knowledge, techniques, ideas, architecture patterns, non-confidential code structures, and experience gained during the project, provided that we do not disclose the Client's confidential information.

e. Third-party software, open-source libraries, plugins, APIs, fonts, assets, cloud services, and external tools remain subject to their respective licenses and terms.

f. Encore Software is not responsible for third-party license violations caused by Client instructions, Client Materials, or Client-selected tools.

13. Portfolio Rights

Unless prohibited by a written confidentiality agreement or SOW, the Client grants Encore Software permission to mention the Client's name, logo, project summary, screenshots, and general description of the work in Encore Software's portfolio, website, presentation, case study, or marketing materials.

Encore Software will not disclose sensitive business information, private data, credentials, source code, or confidential project details without permission.

14. Third-Party Services

Projects may rely on third-party services including but not limited to hosting providers, cloud platforms, payment gateways, analytics tools, email providers, app stores, APIs, databases, authentication providers, AI tools, domain registrars, and software libraries.

The Client understands and agrees that:

a. Third-party services are governed by their own terms, policies, pricing, limitations, and availability.

b. Encore Software is not responsible for outages, price changes, policy changes, restrictions, account suspensions, security incidents, or service failures caused by third-party providers.

c. The Client is responsible for paying any third-party fees unless otherwise agreed in writing.

d. The Client is responsible for maintaining ownership and access to third-party accounts unless Encore Software is expressly engaged to manage them.

15. Support and Maintenance

Support and maintenance are only included if expressly stated in the SOW, proposal, quotation, or separate maintenance agreement.

Support may include bug fixing, monitoring assistance, minor updates, technical advice, deployment support, or other services agreed in writing.

Support does not include:

  • New features
  • Major redesigns
  • Major architecture changes
  • Content updates
  • Third-party platform issues
  • Server recovery caused by Client error
  • Issues caused by unauthorized changes
  • Issues caused by expired subscriptions or unpaid third-party services
  • Work outside the agreed support period

After the agreed support period ends, additional support may be provided at Encore Software's then-current rates.

16. Bug Fixes and Warranty

Encore Software will use reasonable skill and care in providing the Services.

Unless otherwise stated in the SOW, Encore Software may provide a limited bug-fix period of 30 days after final delivery or launch for issues that are directly caused by our work and materially affect the agreed functionality.

This limited warranty does not cover issues caused by:

  • Client modifications
  • Third-party services
  • Hosting or infrastructure problems
  • Browser, operating system, or device changes
  • Incorrect Client data or content
  • Unauthorized access
  • Malware or security incidents
  • Misuse of the system
  • Scope changes
  • New requirements
  • External API changes
  • Open-source or third-party dependency changes

17. Confidentiality

Both parties may receive confidential information during the project.

Confidential information includes but is not limited to business plans, technical information, source code, credentials, user data, financial information, product strategy, internal processes, designs, documents, and other non-public information.

Each party agrees to:

a. Keep confidential information secure.

b. Use confidential information only for the purpose of the project.

c. Not disclose confidential information to unauthorized third parties.

d. Limit access to personnel, contractors, or advisors who need the information for the project and are bound by confidentiality obligations.

Confidentiality obligations do not apply to information that is publicly available, already known before disclosure, independently developed, lawfully received from a third party, or required to be disclosed by law.

18. Privacy Policy

Encore Software respects privacy and will handle personal information in accordance with applicable privacy laws and our Privacy Policy.

We may collect and process personal information for purposes including:

  • Responding to inquiries
  • Preparing proposals
  • Managing projects
  • Providing services
  • Processing payments
  • Communicating with Clients
  • Improving our website and services
  • Meeting legal or business obligations

The Client is responsible for ensuring that any personal data provided to Encore Software is collected and shared lawfully and with proper consent or legal basis.

If a project involves processing personal data of the Client's users, employees, customers, or other individuals, the parties may need to enter into a separate data processing agreement.

19. Security

Encore Software will take reasonable steps to protect systems, credentials, code, data, and project materials under our control.

However, no system, network, software, or method of transmission is completely secure. Encore Software does not guarantee that any website, application, server, database, or software system will be free from vulnerabilities, attacks, errors, malware, or unauthorized access.

The Client is responsible for:

  • Maintaining secure passwords
  • Managing access permissions
  • Keeping third-party accounts secure
  • Maintaining backups
  • Applying security updates after handover
  • Following security recommendations
  • Avoiding unauthorized changes
  • Protecting production credentials

Security audits, penetration testing, compliance certification, disaster recovery, and advanced monitoring are not included unless expressly stated in the SOW.

20. User Accounts

If our website or service requires account registration, you agree to provide accurate and current information.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must not:

  • Share your account without authorization
  • Impersonate another person or entity
  • Misrepresent your identity or affiliation
  • Attempt to gain unauthorized access to any system
  • Use the website or services for unlawful purposes
  • Upload malicious code, spam, or harmful content

Encore Software may suspend or terminate access if we suspect misuse, unauthorized activity, security risk, or violation of these Terms.

21. Electronic Communications

By contacting Encore Software, submitting a form, signing up, purchasing services, or communicating with us online, you agree that we may communicate with you electronically.

Electronic communications may include email, website notices, invoices, project updates, proposals, support messages, newsletters, or other business communications.

You may unsubscribe from marketing communications where applicable, but we may still send transactional or project-related messages.

22. Client Content and Materials

The Client represents and warrants that all Client Materials:

a. Are owned by the Client or properly licensed.

b. Do not infringe any intellectual property, privacy, publicity, or other rights of third parties.

c. Are accurate, lawful, and appropriate for use in the project.

d. Do not contain unlawful, harmful, malicious, defamatory, obscene, abusive, or infringing material.

e. Do not contain viruses, malware, hidden tracking, or harmful code.

Encore Software may refuse to use, publish, deploy, or process any material that we believe may be unlawful, harmful, unethical, infringing, or unsuitable.

23. Prohibited Use

You may not use our website, services, or deliverables to:

  • Violate any law or regulation
  • Infringe intellectual property rights
  • Distribute malware or harmful code
  • Send spam or unauthorized messages
  • Conduct fraud, phishing, or deceptive activity
  • Interfere with system security
  • Reverse engineer unauthorized systems
  • Scrape or misuse data unlawfully
  • Harass, abuse, or harm others
  • Create or operate illegal services
  • Misrepresent Encore Software or our work

Encore Software reserves the right to reject, suspend, or terminate any project or service that we believe may violate this section.

24. Termination

Either party may terminate a project or service according to the termination terms in the applicable SOW or written agreement.

Encore Software may suspend or terminate services immediately if:

a. The Client fails to make payment when due.

b. The Client breaches these Terms or the SOW.

c. The Client requests unlawful, harmful, unethical, or infringing work.

d. The Client fails to provide required cooperation, access, feedback, or materials for an unreasonable period.

e. Continuing the project would create legal, security, reputational, or operational risk.

f. The Client becomes insolvent, ceases operations, or is unable to meet its obligations.

Upon termination:

  • The Client must pay all fees due for work completed, work in progress, third-party costs, and non-cancellable commitments.
  • Encore Software may stop work and withhold delivery until outstanding amounts are paid.
  • Each party must return or delete confidential information upon request, unless retention is required by law or legitimate business recordkeeping.
  • Any rights that should reasonably survive termination will continue, including payment obligations, confidentiality, intellectual property, limitation of liability, indemnity, and dispute resolution.

25. Cancellation and Refunds

Project cancellation must be made in writing.

Unless otherwise agreed in writing:

a. Deposits and advance payments are non-refundable.

b. Payments for completed work, work in progress, planning, research, design, development, consulting, third-party costs, or reserved production time are non-refundable.

c. If a project is cancelled before completion, Encore Software may invoice for all work completed up to the cancellation date.

d. Any refund, credit, or partial cancellation is at Encore Software's discretion unless required by applicable law or expressly stated in the SOW.

26. Indemnity

The Client agrees to indemnify, defend, and hold harmless Encore Software, its owners, employees, contractors, partners, and affiliates from and against any claims, losses, damages, liabilities, costs, expenses, or legal fees arising from:

  • Client Materials
  • Client instructions
  • Client breach of these Terms
  • Client violation of law
  • Client misuse of the services or deliverables
  • Third-party claims related to the Client's business, products, users, or content
  • Intellectual property claims caused by materials or requirements provided by the Client
  • Unauthorized changes made by the Client or third parties

27. Disclaimer

Encore Software provides its website and services on a reasonable commercial basis.

Except as expressly stated in a written agreement, Encore Software does not guarantee that:

  • The website or services will be uninterrupted or error-free
  • Any software will be free from bugs or vulnerabilities
  • Any project will produce a specific business result, revenue, ranking, conversion, or market outcome
  • Third-party services will remain available, secure, or unchanged
  • Any application will be approved by an app store or platform
  • Any system will be compatible with all future devices, browsers, operating systems, APIs, or third-party updates

All services are provided "as is" and "as available" to the maximum extent permitted by applicable law.

28. Limitation of Liability

To the maximum extent permitted by applicable law, Encore Software will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profit, loss of revenue, loss of data, loss of business opportunity, business interruption, reputational harm, or cost of substitute services.

Encore Software's total liability for any claim related to the website, services, project, or deliverables will not exceed the total amount actually paid by the Client to Encore Software for the specific project or service giving rise to the claim during the three months before the claim arose, unless otherwise required by applicable law.

29. Force Majeure

Encore Software will not be liable for failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, power failures, internet outages, cyberattacks, government action, war, civil unrest, labor disputes, pandemic, illness, third-party service failure, payment gateway disruption, cloud provider outage, or other unforeseen events.

30. Governing Law

These Terms and Conditions are governed by the laws of the Republic of Indonesia, unless otherwise agreed in writing.

31. Dispute Resolution

The parties agree to first attempt to resolve any dispute through good-faith discussion.

If the dispute cannot be resolved amicably, the parties may proceed according to the dispute resolution method agreed in the SOW or applicable written agreement.

If no specific dispute resolution method is agreed, the dispute will be handled according to the applicable laws and competent courts of the Republic of Indonesia.

33. Legal Notice

Encore Software is owned and operated by Encore Software.

All content, branding, design, text, graphics, code, website materials, and other materials displayed on this website are the property of Encore Software or its licensors unless otherwise stated.

No part of this website may be copied, reproduced, modified, republished, uploaded, posted, transmitted, distributed, or used for commercial purposes without prior written permission from Encore Software.
